Illustration \u00e0 partir d\u2019un cas v\u00e9cu r\u00e9cemment par un agent immobilier\u2026<\/p>\n<h2>Le formalisme du mandat, toujours une source de nullit\u00e9 ?<\/h2>\n<p>Dans une affaire dont les juges de la Cour de cassation ont r\u00e9cemment eu \u00e0 connaitre, un agent immobilier a \u00e9t\u00e9 sollicit\u00e9 pour la vente d\u2019un h\u00f4tel et d\u2019un chalet attenant.<\/p>\n<p>\u00c0 cet effet, il met en relation la soci\u00e9t\u00e9 vendeuse avec une soci\u00e9t\u00e9 holding potentiellement acqu\u00e9reuse.<\/p>\n<p>Cependant, cette mise en relation n\u2019aboutit initialement \u00e0 aucune transaction et le chalet est vendu seul \u00e0 une soci\u00e9t\u00e9 tierce.<\/p>\n<p>2 ans plus tard, alors que les mandats de l\u2019agent immobilier ont expir\u00e9, l\u2019agent immobilier d\u00e9couvre que la holding a fini par acqu\u00e9rir le chalet, d\u2019une part, et, d\u2019autre part, a rachet\u00e9 l\u2019ensemble des parts de la soci\u00e9t\u00e9 propri\u00e9taire de l\u2019h\u00f4tel.<\/p>\n<p>Il s\u2019estime l\u00e9s\u00e9, \u00e9tant celui qui a mis en relation les parties et sans qui ces transactions n\u2019auraient pas pu se faire. Il r\u00e9clame donc que lui soit pay\u00e9e la commission pr\u00e9vue au mandat.<\/p>\n<p>Pour justifier leur refus de payer la commission, les soci\u00e9t\u00e9s vont mettre le doigt sur un point technique propre au mandat.<\/p>\n<p>En effet, elles rappellent que les mandats sont tenus de respecter un formalisme tr\u00e8s pr\u00e9cis. Il est \u00e0 ce titre pr\u00e9vu que l\u2019agent immobilier doit y faire figurer le lieu de d\u00e9livrance de sa carte professionnelle.<\/p>\n<p>En l\u2019absence de cette mention, les mandats sign\u00e9s \u00e0 l\u2019\u00e9poque doivent \u00eatre consid\u00e9r\u00e9s comme nuls. Mais, pour les juges, il convient d\u2019\u00eatre plus mesur\u00e9.<\/p>\n<p>Si le formalisme impose bien \u00e0 l\u2019agent immobilier d\u2019indiquer le lieu de d\u00e9livrance de sa carte professionnelle sur tous ses mandats, cette absence seule ne permet pas de justifier la nullit\u00e9 des documents, d\u00e8s lors qu\u2019il est \u00e9tabli que le professionnel \u00e9tait bien titulaire d\u2019une carte en cours de validit\u00e9 au moment de la signature des mandats.<\/p>\n<p>Mais, malgr\u00e9 cette validit\u00e9 des mandats, les juges estiment n\u00e9anmoins que les pr\u00e9tentions de l\u2019agent immobilier \u00e0 se faire payer sa commission ne sont pas justifi\u00e9es.<\/p>\n<p>En effet, quand bien m\u00eame il est \u00e0 l\u2019origine de la rencontre entre les vendeurs et acqu\u00e9reurs, ses mandats pr\u00e9voyaient express\u00e9ment une dur\u00e9e de validit\u00e9, ainsi qu\u2019une clause p\u00e9nale fixant la limite de temps dans laquelle les parties s\u2019interdisaient de contracter ensemble sans intervention de l\u2019agent.<\/p>\n<p>Ces d\u00e9lais \u00e9tant purg\u00e9s, c\u2019est \u00e0 bon droit que les soci\u00e9t\u00e9s ont pu contracter ensemble sans r\u00e9mun\u00e9rer l\u2019agent immobilier.<\/p>\n<div>Sources :  <\/p>\n<ul>\n<li><a href=\"https:\/\/www.legifrance.gouv.fr\/juri\/id\/JURITEXT000052267469?isSuggest=true\" target=\"_blank\">Arr\u00eat de la Cour de cassation, 3e chambre civile, du 11 septembre 2025, no 23-17579<\/a><\/li>\n<\/ul>\n<\/div>\n<p><a href=\"https:\/\/www.weblex.fr\/weblex-actualite\/agents-immobiliers-le-formalisme-du-mandat-en-question\" target=\"_blank\">Agents immobiliers : le formalisme du mandat en question<\/a> &#8211; \u00a9 Copyright WebLex<\/p>\n<p><img decoding=\"async\" src=\"https:\/\/www.weblex.fr\/sites\/default\/files\/actualites\/images\/Shutterstock_carteagentimmo.jpg\"><\/p>\n","protected":false},"excerpt":{"rendered":"<p>Les mandats confi\u00e9s aux agents immobiliers doivent suivre un formalisme pr\u00e9cis, dont le non-respect peut entrainer jusqu\u2019\u00e0 la nullit\u00e9 du mandat.
